Warranty Scope

Warranty covers defects in materials and workmanship under normal use and service conditions. Warranty excludes damage resulting from misuse, unauthorized modification, improper maintenance, or failure to follow operating instructions. Warranty service requires prior written authorization from HD Hyundai Robotics USA, Inc.

Limitation of Liability

In no event shall HD Hyundai Robotics USA, Inc. be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, or loss of business opportunity, arising out of or related to this quotation or the sale of the products herein, regardless of the form of action. Seller's total cumulative liability shall not exceed the total purchase price paid by Buyer under this agreement.

IP Ownership

All intellectual property rights, including patents, trademarks, trade secrets, and proprietary software embedded in or associated with the products, remain the exclusive property of HD Hyundai Robotics Co., Ltd. and its affiliates. No license or right to such intellectual property is transferred by this sale except the limited right to use the purchased product as delivered.

Governing Law

This quotation and any resulting purchase agreement shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

Dispute Resolution

Any dispute arising out of or relating to this agreement that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall be conducted in Atlanta, Georgia. The prevailing party shall be entitled to recover reasonable attorney's fees and costs.
